Welcome to New American Coffee Company.

These Terms of Service describe the terms and conditions that apply when you visit, browse, purchase from, or otherwise use our website, online store, products, content, features, tools, and related services collectively, the “Services.”

The terms “New American Coffee Company,” “we,” “us,” and “our” refer to New American Coffee Company. Our online store is powered by Shopify, which enables us to provide the Services to you.

However, product appearance, packaging, color, and presentation may vary from what appears on your screen due to device settings, display differences, lighting, photography, production updates, or packaging changes.

Our products contain coffee and caffeine. You should review all product descriptions, ingredient information, brewing instructions, and any allergen or dietary information before purchasing or consuming our products. You are responsible for determining whether a product is appropriate for your dietary needs, sensitivities, restrictions, or preferences.

Unless expressly stated otherwise, our products are not intended to diagnose, treat, cure, or prevent any disease or medical condition. Any information provided through the Services is for general informational purposes only and should not be considered medical, nutritional, or professional advice.

All product descriptions, availability, pricing, ingredients, packaging, and offerings are subject to change at any time without notice. We reserve the right to discontinue any product at any time and to limit quantities offered or sold to any person, household, geographic area, or jurisdiction.

Section 3 - Orders

When you place an order, you are making an offer to purchase the products in that order. We reserve the right to accept, decline, cancel, or limit any order for any reason at our sole discretion.

Your order is not accepted until we confirm acceptance and process payment. We may contact you using the email address, billing address, shipping address, or phone number provided at checkout if we need to make a change to, verify, or cancel your order.

Please review your order carefully before submitting it. We may be unable to accommodate cancellation or change requests after an order has been accepted, processed, packed, or shipped.

You agree to provide current, complete, and accurate payment and account information for all purchases. You represent and warrant that:

You are authorized to use the payment method provided.
The payment information you provide is true, correct, and complete.
Charges incurred by you will be honored by your payment provider.
You will pay all charges incurred by you, including product costs, shipping, handling, taxes, and any applicable fees.

We reserve the right to correct pricing errors, cancel orders affected by pricing errors, and refuse or cancel suspicious, fraudulent, or unauthorized transactions.

Section 5 - Shipping and Delivery

Shipping and delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, weather, customs, incorrect shipping information, supply issues, holidays, natural events, or circumstances outside our reasonable control.

You are responsible for providing a complete and accurate shipping address. We are not responsible for orders that are delayed, lost, returned, or misdelivered due to incorrect or incomplete shipping information provided by you.

Once products are transferred to the shipping carrier, title and risk of loss pass to you to the fullest extent permitted by law. Claims for lost, stolen, delayed, or damaged packages may need to be handled with the shipping carrier, though we may assist where reasonable.

The Services, including all text, images, graphics, logos, branding, product names, product descriptions, photographs, videos, audio, designs, page layouts, content, and other materials, are owned by New American Coffee Company, its affiliates, licensors, suppliers, or service providers and are protected by copyright, trademark, trade dress, and other intellectual property laws.

New American Coffee Company names, logos, product names, designs, slogans, and related marks are trademarks or trade dress of New American Coffee Company. You may not use them without our prior written permission.

Shopify’s name, logo, product names, and service names are trademarks of Shopify. All other third-party names, logos, product names, and marks appearing through the Services are the property of their respective owners.

The Services may include access to tools, apps, integrations, payment processors, shipping providers, analytics providers, or other services operated by third parties.

Our store is powered by Shopify, which provides the ecommerce platform that enables us to sell products and provide the Services.

Any sales or purchases made through our store are transactions between you and New American Coffee Company. Shopify is not responsible for any aspect of those transactions, including product quality, fulfillment, delivery, injury, damage, loss, returns, refunds, or customer service related to products purchased from us.

By using the Services, you release Shopify and its affiliates from claims, damages, and liabilities arising from or related to purchases or transactions with New American Coffee Company.

Your use of the Services is subject to our Privacy Policy.

Because our store is powered by Shopify, Shopify may collect and process certain personal information in connection with your access to and use of the Services. You represent and warrant that:

Your Feedback does not contain unlawful, abusive, obscene, defamatory, misleading, or harmful content.
Your Feedback does not contain malware, viruses, or other harmful code.

We are not obligated to maintain Feedback in confidence, pay compensation for Feedback, respond to Feedback, or use Feedback.

We may monitor, edit, refuse, or remove Feedback that we determine violates these Terms or is otherwise objectionable.

We have no obligation to update, amend, or clarify information on the Services except as required by law.

You remain responsible for all amounts due up to and including the date of termination.

Sections that by their nature should survive termination will continue to apply, including sections related to intellectual property, feedback, privacy, disclaimers, limitation of liability, indemnification, governing law, and dispute terms.

Section 16 - Disclaimer of Warranties

The Services and all products offered through the Services are provided to the fullest extent permitted by law on an “as is” and “as available” basis, except as expressly stated by New American Coffee Company.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

Some jurisdictions do not allow limitations on implied warranties, so some of the above exclusions may not apply to you.

To the fullest extent permitted by law, New American Coffee Company, Shopify, and our respective affiliates, partners, directors, officers, employees, contractors, agents, licensors, suppliers, and service providers shall not be liable for any direct, indirect, incidental, punitive, special, consequential, or similar damages of any kind, including lost profits, lost revenue, lost savings, loss of data, replacement costs, or other damages arising from:

We may control the defense and settlement of any claim subject to indemnification, and you agree to cooperate with us in the defense of such claims.

Any ambiguities in these Terms shall not be construed against the drafting party.

You may not assign, transfer, or delegate these Terms or any rights or obligations under these Terms without our prior written consent.

We may assign, transfer, or delegate these Terms and our rights and obligations without your consent or notice.

Section 22 - Governing Law

These Terms of Service and any separate agreements whereby we provide the Services shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict of law principles.

You and New American Coffee Company consent to venue and personal jurisdiction in the state and federal courts located in North Carolina.

We reserve the right to update, change, or replace any part of these Terms by posting updates to our website. Changes will be effective when posted unless otherwise stated.
